Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RawTrade platform, including the website at rawtrade.app and any associated applications or services (collectively, the "Service"), operated by BacktestPro LLC ("we", "us", or "our"), a Wyoming Limited Liability Company.

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 18 years of age to use RawTrade. By using the Service, you represent and warrant that you are of legal age to form a binding contract with BacktestPro LLC and meet all eligibility requirements stated in these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

RawTrade is a trade journaling and analytics platform designed for retail and prop firm traders. The Service provides tools to track trades, analyze performance, monitor prop firm rule compliance, and visualize trading data.

The Service also includes an AI-powered coaching feature that analyzes your trade data to provide performance insights. This feature is informational only and does not constitute financial advice.

RawTrade does not provide financial advice, trading signals, investment recommendations, or any form of financial services. The Service is a data visualization and journaling tool only. Nothing on the platform constitutes a recommendation to buy, sell, or hold any financial instrument.

To access the Service, you must create an account by providing a valid email address and password, or by using a supported third-party authentication provider (e.g., Google). You are responsible for maintaining the confidentiality of your login credentials.

You agree to provide accurate, current, and complete information during registration and to update that information if it changes. You are solely responsible for all activity that occurs under your account.

You may not share your account with others or create accounts using automated means. We reserve the right to suspend or terminate accounts that violate these Terms.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Transmit harmful, offensive, or unlawful content
• Attempt to gain unauthorized access to the Service or its systems
• Use automated tools (bots, scrapers) to access the Service without our written permission
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service or the RawTrade EA
• Redistribute, resell, or share your RawTrade API credentials or EA authentication tokens
• Abuse the AI coaching feature through excessive automated requests or attempts to extract proprietary model outputs at scale
• Attempt to access, extract, or infer trading data belonging to other users

We reserve the right to suspend or terminate access for any user who violates these provisions.

RawTrade offers a single 7-day card-verified trial with full access, including AI Coach. After the trial period, continued access requires a paid subscription plan. Subscription fees are billed in advance on a monthly or annual basis, as selected at checkout.

All payments are processed through our authorized payment provider. By selecting a paid plan and completing checkout, you authorize us to charge your payment method for the applicable subscription fees. You are responsible for all applicable taxes.

We reserve the right to modify subscription pricing at any time. Any pricing changes will be communicated at least 30 days in advance and will apply to the next billing cycle.

Each subscription plan includes a monthly allocation of AI Coach credits. Monthly credits reset at the start of each billing cycle and do not roll over to the next period. Unused monthly credits expire at the end of each billing cycle.

Purchased credit top-up packs are non-refundable and do not expire. When using the AI Coach, monthly credits are consumed first. Purchased credits are only consumed after monthly credits are exhausted.

Credit costs per message: 4 credits for a Sonnet (deep analysis) message, 1 credit for a Haiku (quick answer) message. We reserve the right to adjust credit costs with 30 days advance notice.

You may cancel your subscription at any time from the Billing page in your dashboard. Cancellation takes effect at the end of the current billing period: you retain full access until then.

All content, features, and functionality of the Service (including but not limited to software, text, graphics, logos, and user interface designs) are owned by BacktestPro LLC and are protected by applicable intellectual property laws.

You retain ownership of any trading data you upload or import to the Service. By using the Service, you grant us a limited, non-exclusive license to process and display your data solely for the purpose of providing the Service to you.

You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written permission.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information on the Service.

Trading involves substantial risk of loss. The analytics and data visualizations provided by RawTrade are for informational purposes only and should not be relied upon as financial advice. Past performance displayed on the platform is not indicative of future results.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BACKTESTPRO LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.

You agree to indemnify, defend, and hold harmless BacktestPro LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts located in Sheridan County, Wyoming for the resolution of any disputes.

Before filing any formal dispute, you agree to first contact us at support@rawtrade.app and attempt to resolve the matter informally. We will make reasonable efforts to resolve the dispute within 30 days.

If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Sheridan County, Wyoming. You waive any right to a jury trial or to participate in a class action lawsuit.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by displaying a prominent notice on the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.
